Global Infrastructure Partners (GIP), In Partnership with ADIA, Khazanah/UEM Group, and EPF, Announces Successful Offer for Malaysia Airports Holdings Berhad

Further to the announcement on May 15, 2024, Global Infrastructure Partners (GIP), ADIA, UEM Group (the wholly-owned infrastructure subsidiary of Khazanah) and EPF (collectively, the “Consortium”) announced last week that it has received valid acceptances representing 94.5% of the issued shares in Malaysia Airports Holdings Berhad (“MAHB”) pursuant to the formal offer that was launched on November 15, 2024.

Accordingly, the offer has been declared unconditional and the Consortium has achieved the acceptance thresholds necessary to both de-list and compulsorily acquire all the remaining MAHB shares.

GIP and ADIA will collectively own a 30% joint-controlling interest in MAHB, with UEM Group and  EPF owning 40% and 30%, respectively.

MAHB is the operator of Kuala Lumpur International Airport (“KLIA”) and 38 other airports in Malaysia, and Sabiha Gokcen International Airport in Istanbul, Turkey. Over 135 million passengers travelled through MAHB’s airports in 2024.

GIP believes that Malaysia is well-placed to benefit from the rapidly growing South-East Asian aviation market, with KLIA having the potential to play an increasing role in long-haul, global air connectivity.

The acquisition of MAHB represents an outstanding opportunity to leverage GIP’s airport expertise to drive operational, customer experience and commercial improvements and to deliver significant capital projects required to upgrade and expand the airports’ infrastructure.
